Parties & Application

Rhoel Penalver Gerona, trading as QuickWeb Technologies ("QuickWeb", "we", "us"), ABN 95 920 852 424, agrees to furnish services to the Client ("you"), subject to these Terms of Service ("ToS"). Use of QuickWeb's services constitutes acceptance of this ToS and QuickWeb's Acceptable Use Policy (AUP).

This ToS may be updated from time to time at QuickWeb's discretion. A change to the ToS or AUP is not, by itself, grounds for early termination or non-payment by the Client.

Payment & Refunds

Client agrees to pay the subscription fee for the hosting plan and billing term ordered. All sales are final for delivered services and no refund is provided except where stated in an advertised promotion (proof required). A service is deemed delivered once the Client uses the provided credentials to access QuickWeb's network or services.

QuickWeb will provide a full or partial refund only where QuickWeb fails to deliver the ordered service within 2 working days of receipt of payment. QuickWeb may decline a payment method for suspected abuse or misuse. Fraudulent payments or chargeback disputes will result in immediate account termination, as the Client is deemed not to have paid for the service.

Invoicing for Renewals

QuickWeb will send an invoice and payment reminder at least 10 days before the due date, unless a custom arrangement has been mutually agreed.

Provision of Services

QuickWeb will provide ordered services after verifying Client details and payment (automated or manual fraud checks), within a maximum of 2 working days. Suspected fraudulent orders are subject to immediate termination. QuickWeb may refuse any Client or withdraw an advertised plan, feature, or specification by giving at least 2 days' written notice to affected Clients.

Contact Information

Client agrees to provide accurate, complete contact information and to update it within a reasonable time following any change. Providing false or misleading information will result in immediate account termination with no refund.

Account or Service Cancellation

Cancellation requests must be submitted via a support ticket through the client portal at least 2 days but no more than 30 days before the end of the billing cycle. Cancellations by phone, email, or fax are not accepted. Accounts with a total monthly invoice of AUD $500 or more require 6 months' advance notice to cancel, or payment of the equivalent 6-month notice period as a one-off opt-out payment.

Only the authorised account holder may cancel an account. Client will be billed for any excess usage in the then-current billing cycle at cancellation. Accounts terminated without following the proper cancellation procedure may be blacklisted from future services.

Suspension of Service

QuickWeb may suspend services 48 hours after an account becomes overdue, with automatic termination a further 24 hours later unless otherwise agreed. Repeated suspension for overdue invoices may incur a $10 late fee and/or $15 reconnection fee. Suspended services are reactivated only once the outstanding balance is paid in full. A second ToS violation resulting in suspension carries a $5 reactivation fee. Unpaid fees may be referred to a third-party collection agency.

Harassment and Abuse

QuickWeb does not tolerate abuse directed at its staff, including verbal harassment, threats, or intentionally disruptive behaviour. Client agrees to engage professionally in all communications. Abuse is a ToS violation; no refund is provided for termination arising from this clause.

Copyright (Takedown Notices)

QuickWeb takes copyright complaints seriously and will generally give no more than 24 hours' notice to comply with a valid takedown request. Failure to comply may result in suspension; a second or subsequent offence requires payment of a $5 administrative fee before reactivation. QuickWeb may immediately terminate a service for copyright infringement.

Disclosure to Law Enforcement

QuickWeb's AUP prohibits use of its services for illegal activity. Client agrees QuickWeb may disclose subscriber information (including assigned IPs, account history and usage) to a law enforcement agency making a written request, without further notice to Client. QuickWeb may terminate services in this circumstance.

Unsolicited Commercial Email (Spam)

QuickWeb has zero tolerance for the sending of unsolicited commercial email (UCE/spam) over its network, or hosting content advertised by UCE from other networks. QuickWeb may sample bulk email to prevent blacklisting. A first violation may result in suspension and review for termination. A second violation carries an administrative fee of at least $25 and/or termination, plus research fees of up to $100 per hour for investigation. Servers implicated in serious violations may be permanently removed from the network without notice.

IP Allocations

IP addresses assigned to Client must be justified under applicable regional internet registry guidelines (e.g. APNIC for the Asia-Pacific region). Addresses not used in accordance with these guidelines may be revoked.

Bandwidth

Client agrees not to exceed the bandwidth allocation for their plan. QuickWeb monitors usage and provides usage graphs via the client portal. QuickWeb may take corrective action for excess usage, including additional charges, service disconnection, or termination, at its discretion, and will endeavour to communicate with Client before taking action. Bandwidth is measured monthly in line with Client's billing cycle, counting both incoming and outgoing traffic. QuickWeb may collect a deposit against projected overage. Overage invoices unpaid within 3 days may result in suspension. Unused allocations do not carry over.

Technical Support

QuickWeb provides reasonable technical support by email or support ticket during normal support hours, except for unmanaged/self-managed hosting, where support is limited to hardware and network issues. Telephone support is provided only where separately purchased. QuickWeb does not extend support to third parties or clients of Client.

Backups

Client is responsible for backing up their own data. QuickWeb is not responsible for data loss where Client has not maintained their own backups, unless Client has subscribed to a QuickWeb backup service.

System and Network Security

Users must not violate or attempt to violate the security of QuickWeb's network. This includes, without limitation: accessing data or accounts without authorisation; probing, scanning, or testing vulnerabilities without authorisation; interfering with service via overloading, flooding, or similar means; forging packet or email header information; and obtaining services to which the User is not entitled. Violations may result in civil or criminal liability and may be reported to law enforcement.

Content Rights

Client (or the relevant copyright owner) retains ownership of Client Content, being any text, media, data, or software Client provides to QuickWeb, excluding Third-Party Materials and QuickWeb's Background Technology. QuickWeb owns the rights to its own website/service design. If Client stops paying the hosting fee following cancellation, Client is not entitled to further use of or access to the service.

"Background Technology" means code, templates, and operating infrastructure developed by or for QuickWeb to host or operate a Client's service. Client must not duplicate, distribute, reverse-engineer, or decompile Background Technology without QuickWeb's prior written consent, except as permitted by law. All rights not expressly granted remain with QuickWeb.

Client grants QuickWeb a limited, non-exclusive licence to copy, transmit, display, and otherwise use Client Content solely to provide the Services (including backup), terminating automatically on termination of this agreement.

Content Standards

Client must not provide content that: infringes a third party's intellectual property, privacy, or publicity rights; violates any applicable law; is defamatory, violent, obscene, or otherwise unlawful; or contains malicious code intended to damage or interfere with any system or data. International Clients must comply with applicable local and national laws. QuickWeb may refuse hosting of content it deems inappropriate at its discretion.

Unmetered Services

Where a service is advertised as "unmetered", this means fair, good-faith use without hidden charges, provided on an "as-is" basis. QuickWeb reserves the right to discuss upgrade options, or to terminate or charge for excess usage where use is not consistent with this ToS and the AUP.

Warranty Disclaimer

Except as expressly stated in this agreement, and subject to the Consumer Guarantees clause below, the Services are provided "as is". QuickWeb disclaims all other warranties and conditions, express, implied, or statutory, including implied warranties of title, non-infringement, merchantability, and fitness for a particular purpose, to the extent permitted by law. QuickWeb is not liable for temporary delays, outages, or interruptions to the Services. Each party confirms it has not relied on any representation not set out in this agreement. Unless a specific approval process is stated, Services are deemed accepted on delivery.

Consumer Guarantees (Australian Consumer Law)

Nothing in this ToS excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on the Client under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot lawfully be excluded. Where QuickWeb's liability for breach of a non-excludable guarantee can be limited under that law, QuickWeb's liability is limited, at QuickWeb's option, to the re-supply of the Services or the cost of having the Services re-supplied.

Limitation of Liability

Subject to the Consumer Guarantees clause above, QuickWeb's total aggregate liability under this agreement shall not exceed the amount paid by Client to QuickWeb during the 1-month period before the event giving rise to the claim arose.

QuickWeb shall not be liable for: (a) any loss of use, loss of data, or interruption of business; or (b) any indirect, special, incidental, consequential, or punitive damages of any kind (including, without limitation, lost profits), regardless of the form of action, whether in contract, tort (including negligence), statute, or otherwise, even if QuickWeb has been advised of the possibility of such damages.

Client acknowledges that these limitations are an essential element of this agreement, and that, absent such limitations, QuickWeb would not enter into this agreement.

Non-Waiver

QuickWeb's failure at any time to enforce a provision of this ToS, or to exercise any right, remedy, or option, is not a waiver of that provision, right, remedy, or option, and does not affect the validity of this ToS.

Force Majeure

QuickWeb is not liable for delay or failure to perform its obligations due to war, fire, strike, riot, natural disaster, carrier delay, government order, plant shutdown, unavailability of materials or equipment, power failure, labour dispute, or other cause beyond its reasonable control.

Assignment

Client may not assign this ToS or any rights or obligations under it without QuickWeb's prior written consent. QuickWeb may assign this ToS without Client's consent. This ToS binds and benefits the parties and their permitted successors and assigns.

Governing Law

This ToS is governed by the laws of Western Australia, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of Western Australia.

GST

QuickWeb is not currently registered for GST. If QuickWeb becomes registered for GST, invoices will be updated to reflect applicable GST at the prevailing rate, and this clause will be revised accordingly. ABN: 95 920 852 424.

Miscellaneous

QuickWeb reserves the right to refuse service to anyone for any reason, subject to applicable law. QuickWeb is not responsible for data integrity on equipment reclaimed for non-payment. Client is solely responsible for content stored on and served by their QuickWeb service. Anything not explicitly addressed in this ToS is subject to QuickWeb's reasonable interpretation.
